Welcome to Embient AI, a service provided by SKE & Co LLC ("Company," "we," "our," or "us"), a company registered in Mongolia. Embient AI is an AI trading agent platform that provides trading insights, chart annotations, and research tools through a web application and command-line interface (collectively, the "Services"). These Terms of Service ("Terms") govern your access to and use of the Services. Please read them carefully before using the Services.
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Embient AI is an AI trading agent platform. The Services provide tools that allow you to create and configure autonomous AI agents ("Agent Spawns") that perform market analysis, monitor trading insights, and generate research on automated schedules (cron or interval-based). Additional Services include AI-powered chart annotations (where AI draws directly on your TradingView charts), economic calendar monitoring, portfolio tracking tools, a multi-agent AI chat with specialized technical and fundamental analysts, and an open-source command-line interface (Embient CLI). The platform features Trading Skills — open-source, structured knowledge modules that teach AI agents how to analyze markets. Users can browse, fork, create, and toggle Skills through a community-driven marketplace. The platform also provides User Memories, which allow the AI to remember your trading preferences, risk tolerance, and analysis style across conversations. You can view, edit, toggle, and delete your memories at any time. Usage of the Services is measured in Chat Credits (for AI conversations) and Spawn Credits (for Agent Spawn executions). Subscription tiers determine your credit allocation, number of Concurrent Agents you may run simultaneously, and minimum Monitor Interval for trade monitoring frequency. Embient AI is NOT a registered investment adviser, broker-dealer, or financial institution. We do not provide investment advice, execute trades, manage portfolios, or hold client funds. We are a technology provider — we supply the platform and tools that enable you to build and run your own AI-powered trading agents. All output generated by Agent Spawns and other AI features is for informational and educational purposes only.
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. The Services are not available in jurisdictions where they would be prohibited by law.
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep it up to date. You must notify us immediately of any unauthorized use of your account. You may not share your account with others, create multiple accounts, or transfer your account to another person without our consent.
Certain features of the Services require a paid subscription. Each subscription tier includes a monthly allocation of Chat Credits and Spawn Credits, a maximum number of Concurrent Agents, and a minimum Monitor Interval. Credit allocations reset at the beginning of each billing period. Unused credits do not roll over. If you exhaust your credits before the end of a billing period, access to credit-consuming features will be paused until credits reset or you upgrade your plan. By subscribing to a paid plan, you agree to the following: a) Billing: Subscriptions are billed on a recurring basis (monthly or annually) at the rate displayed at the time of purchase. Payment is processed through our third-party payment provider, Bonum. By subscribing, you also agree to Bonum's terms of service. b) Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. c) Upgrades: When upgrading to a higher-tier plan, you will be charged the full price of the new plan immediately. Your remaining time on the previous plan will not be prorated or refunded. d) Downgrades: When downgrading to a lower-tier plan, your current plan remains active until the end of the current billing period. The new plan takes effect at the next billing cycle. e) Cancellation: You may cancel your subscription at any time through the account settings. Upon cancellation, your access to paid features will terminate immediately and you will be downgraded to the Free plan. f) Refunds: All payments are non-refundable unless otherwise required by applicable law. g) Price Changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect. Your continued use of the Services after the price change constitutes acceptance of the new pricing. h) Credit Usage: Chat Credits are consumed when using AI chat features. Spawn Credits are consumed when Agent Spawns execute. Credit consumption rates may vary based on the complexity and duration of AI operations. We reserve the right to adjust credit consumption rates with 30 days' notice.
The Services use artificial intelligence models, including third-party AI systems, to generate market analysis, trading insights, and research content. You acknowledge and agree that: a) AI-generated content may contain errors, inaccuracies, or omissions. AI models can produce incorrect or misleading analysis. b) The quality and accuracy of AI analysis depends on the data available, including any content you provide (such as chart images or queries). Incomplete or inaccurate input may lead to unreliable output. c) AI models rely on periodically refreshed market data rather than live streaming feeds. There may be delays between actual market conditions and the data available to the AI. News and fundamental data are fetched in real-time from third-party sources but may still be incomplete or delayed. Market conditions can change rapidly. d) Trading insights generated by the Services represent AI-generated opinions based on historical data and pattern recognition. They are not predictions or guarantees of future market performance. e) We do not guarantee the availability, accuracy, completeness, or timeliness of any AI-generated content.
THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY. All content provided through the Services, including trading insights, market analysis, chart annotations, economic insights, and AI-generated research, is for informational and educational purposes only. Nothing on this platform constitutes investment advice, a recommendation, or a solicitation to buy, sell, or hold any financial instrument. Trading and investing in financial markets involves substantial risk of loss. You can lose some or all of your invested capital. Past performance, whether actual or indicated by historical data or AI analysis, does not guarantee future results. You are solely responsible for your own investment and trading decisions. You should conduct your own independent research and consult with a qualified, licensed financial advisor before making any investment decisions. SKE & Co LLC does not recommend that any specific financial instrument should be bought, sold, or held by you. The Company, its employees, officers, and affiliates may hold positions in financial instruments discussed within the Services. This does not constitute a recommendation.
You are solely responsible for any content you submit to the Services, including chart images, messages, queries, and uploaded files ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content for the purpose of providing, maintaining, and improving the Services. You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate the rights of any third party. You retain ownership of your User Content, including your watchlists, portfolio configurations, and chart drawings. We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice. Trading Skills that you create or fork through the platform are considered User Content. You retain ownership of your original contributions to Skills. Skills you publish to the marketplace are made available under the same open-source license as the platform's built-in Skills. By publishing a Skill to the marketplace, you grant other users the right to fork, modify, and use your Skill within the Services. User Memories (such as your trading preferences, risk tolerance, and analysis style) that you create or that the AI generates based on your interactions are User Content that you control. You may view, edit, toggle, and delete your memories at any time through the memory management interface.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You agree NOT to: a) Redistribute, resell, sublicense, or publicly display any content from the Services, including AI-generated analysis, trading insights, or market data. b) Use automated systems, bots, scrapers, or similar tools to access the Services or extract data, except through our official CLI application. c) Reverse engineer, decompile, or disassemble any part of the Services. d) Attempt to gain unauthorized access to the Services, other user accounts, or our systems. e) Use the Services for any illegal purpose or in violation of any applicable laws or regulations. f) Circumvent usage limits, rate limits, or subscription tier restrictions. g) Use the Services to develop a competing product or service. h) Attempt prompt injection or other techniques to manipulate AI model behavior beyond intended use.
All content, features, functionality, software, and design of the Services are owned by SKE & Co LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The Embient AI name, logo, and all related marks are trademarks of SKE & Co LLC. Market data displayed within the Services is provided by TwelveData and is subject to their respective terms and restrictions. Such data is provided for informational purposes only and does not constitute investment, financial, trading, or any other type of advice. AI-generated analysis content is owned by the Company. Trading Skills distributed as open-source are licensed under their respective open-source licenses and are not subject to the proprietary ownership clause above. User-created Skills remain the intellectual property of their respective creators, subject to the marketplace license terms described in Section 9.
The Services integrate with and rely on third-party services, including but not limited to: AI model providers (Google), payment processors (Bonum), authentication services (Supabase), market data providers (TwelveData), and notification services (Firebase). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of the Services is also subject to the terms and policies of these third-party providers. We encourage you to review their terms and privacy policies.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING AI-GENERATED ANALYSIS AND TRADING INSIGHTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKE & CO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. YOU SPECIFICALLY ACKNOWLEDGE THAT SKE & CO LLC IS NOT LIABLE FOR ANY FINANCIAL LOSSES RESULTING FROM TRADING OR INVESTMENT DECISIONS MADE BASED ON CONTENT PROVIDED THROUGH THE SERVICES.
You agree to indemnify, defend, and hold harmless SKE & Co LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and costs (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any trading or investment decisions you make based on content provided through the Services.
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, non-payment, abuse of the Services, excessive usage beyond subscription limits, attempted redistribution of content, or any activity we deem harmful to the Services or other users. Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability. You may delete your account at any time through the account settings. Deletion of your account will result in the permanent removal of your data, subject to our data retention obligations.
These Terms shall be governed by and construed in accordance with the laws of Mongolia, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Mongolia. Before initiating any formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may proceed with formal dispute resolution.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Services and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.
